These Seller Terms and Conditions (“Seller Terms”) govern the application for, registration, access to and use of a Seller Account on the Hoskay online marketplace.

The Hoskay Platform is operated by:

  • applies to become a Seller;
  • creates or manages a Seller Account;

  • these Seller Terms;
  • the Hoskay Terms of Service;
  • the Privacy Policy;
  • the Cookie Policy;
  • the Shipping Policy;
  • the Refund and Returns Policy;
  • the Prohibited Products Policy;
  • any applicable fee schedule;
  • any additional rules reasonably made available through the Seller dashboard.

Where a provision of these Seller Terms conflicts with a mandatory requirement of applicable law, the mandatory legal requirement will prevail.

3. ROLE OF HOSKAY

Hoskay operates an online marketplace through which independent Sellers may offer Products to Buyers.

Unless Hoskay is expressly identified as the Seller of a particular Product, Hoskay:

  • is not the Seller of the Product;
  • does not own the Product;
  • is not a party to the Sales Contract;
  • does not manufacture the Product;
  • does not physically store the Product;
  • does not package or dispatch the Product;
  • does not replace the Seller in respect of the Seller's legal obligations to the Buyer.

The Sales Contract is concluded directly between the Seller and the Buyer.

Hoskay may provide or facilitate:

  • Seller registration;
  • Seller verification;
  • Product Listings;
  • Orders;
  • Buyer-Seller communications;
  • payment collection;
  • Payout calculations;
  • returns and refunds;
  • complaint handling;
  • Platform security;
  • compliance processes;
  • promotional and advertising functionality.

The fact that Hoskay facilitates these functions does not make Hoskay the Seller or a party to the Sales Contract.

The Seller operates as an independent business and is not an employee, agent, representative, franchisee, partner or joint-venture partner of Hoskay.

The Seller has no authority to enter into obligations on behalf of Hoskay.

4. WHO MAY BECOME A SELLER

Hoskay accepts applications from companies, sole traders and individuals lawfully practising a craft or independent profession. An individual does not need to incorporate a company solely to apply, but must complete the registrations applicable to their activity before approval.

Seller Applicants must be legally entitled to conduct the commercial activity for which they are applying.

Hoskay may accept, depending on applicable law and the circumstances:

  • companies;
  • sole traders;
  • registered professional traders;
  • individuals registered to practise a craft or independent profession, where required by applicable law;
  • other legally recognised businesses or professional economic operators.

Individuals may apply in their own name as craft practitioners or independent professionals. Approval and selling require verification of their legal status and applicable registrations. Merely describing an activity as a hobby does not exempt it from tax, social-insurance, registration or consumer-protection obligations. Hoskay does not offer an unverified private-sales programme.

A Seller Applicant must:

  • have legal capacity to enter into these Seller Terms;
  • have the legal right to conduct the proposed activity;
  • provide accurate and complete information;
  • complete Hoskay's verification process;
  • comply with applicable tax, accounting and invoicing rules;
  • offer only lawful and safe Products;

  • maintain valid contact and payment information.

  • payment account details;
  • IBAN;
  • bank account holder name;
  • website or social media information, where requested or voluntarily provided;

Hoskay may:

  • approve an application;
  • reject an application;
  • request corrections;
  • request additional information;
  • request additional documents;
  • impose reasonable conditions before approval;
  • restrict the categories of Products a Seller may offer.

A Seller Applicant must not begin selling Products until the Seller Account has been approved by Hoskay.

6. PERSON REGISTERING THE SELLER ACCOUNT

The person submitting the application must provide their own true full name.

An individual applying for themselves must state that they are applying in their own name. A representative must accurately state their relationship to the seller, such as:

  • Legal Representative / Manager;
  • Owner / Shareholder;
  • Employee;
  • Authorised Representative;
  • Other.

A person registering on behalf of another business must have appropriate authority to do so.

Hoskay may verify whether that person is authorised to represent or act for the relevant business.

7. IDENTITY VERIFICATION

As part of its Seller verification process, Hoskay may require the person registering or representing a Seller to provide a valid identity document or another reasonable means of identity verification.

The purpose of this verification may include:

  • confirming the identity of the person registering the account;
  • reducing impersonation and fraud;
  • comparing the person's identity with business or representation information;
  • protecting Sellers and Buyers;
  • meeting legal, payment, security or compliance requirements.

Identity documents must:

  • be valid;
  • be legible;
  • be authentic;
  • correspond to the person undergoing verification.

Hoskay may refuse or suspend verification where a document appears altered, fraudulent, expired, inconsistent or otherwise unreliable.

Identity information will be handled in accordance with the Hoskay Privacy Policy and applicable data-protection requirements.

8. PROOF OF AUTHORITY

Where the person registering or managing a Seller Account is not clearly shown as an authorised legal representative of the business, Hoskay may require proof that the person is authorised to act for the business.

Such evidence may include:

  • a power of attorney;
  • written authorisation;
  • corporate authorisation;
  • employment-related authority;
  • another document reasonably establishing authority.

Hoskay may request additional verification if the provided authority cannot reasonably be confirmed.

9. SELLER VERIFICATION

Hoskay may verify:

  • Seller identity;
  • company, sole-trader, craft or independent-profession registration, as applicable;
  • registered address;

  • VAT registration;
  • payment account information;
  • bank account ownership;
  • licences and permits;
  • Product origin;
  • Product authenticity;
  • Product safety;
  • legal and Platform compliance.

Verification may use:

  • official public registers;
  • company registers;
  • competent authorities;
  • information supplied by the Seller;
  • payment service providers;
  • verification providers;
  • Product safety databases;
  • other lawful and reliable sources.

Documents that may be requested include:

  • company, sole-trader, craft or independent-profession registration documents, as applicable;
  • VAT registration documents;

  • licences;
  • permits;
  • certificates;
  • supplier invoices;
  • conformity documents;
  • test reports;
  • safety documents;
  • authenticity or supply-chain documentation.

Verification by Hoskay does not constitute an endorsement or certification of the Seller or its Products.

10. SELLER DECLARATIONS

By applying to become a Seller, the Seller confirms and declares that:

  • all information supplied is accurate and complete;
  • documents supplied are authentic;
  • the person submitting the application is authorised to do so;
  • the Seller is legally entitled to conduct its activities;
  • the Seller will comply with applicable law;
  • Products offered through Hoskay will comply with applicable legal requirements;
  • the Seller will not intentionally offer illegal, counterfeit, unsafe or prohibited Products;
  • information provided to Hoskay will be updated when it changes.

Providing false, misleading, forged or materially incomplete information may result in rejection, suspension or termination of the Seller Account.

11. CONTINUING VERIFICATION

The Seller must keep all information supplied to Hoskay accurate and current.

The Seller must inform Hoskay without undue delay of material changes to:

  • legal name;
  • trading name;
  • company, sole-trader, craft or independent-profession registration, as applicable;
  • legal form;
  • registered address;
  • contact information;
  • legal representatives;
  • authority of account users;
  • VAT status;
  • licences;
  • Product categories;
  • bank account or IBAN;
  • other information used for verification.

Hoskay may repeat verification where reasonably necessary.

12. SELLER ACCOUNT SECURITY

The Seller is responsible for maintaining the security of its Seller Account.

The Seller must:

  • restrict access to authorised persons;
  • use secure passwords;
  • use available authentication functions;
  • keep contact details current;
  • notify Hoskay of suspected unauthorised access;
  • remove access for people who are no longer authorised.

The Seller must not:

  • sell or transfer its Seller Account;
  • allow another unapproved business to operate through it;
  • impersonate another person or business;
  • conceal the true business operating the shop;
  • create accounts in order to avoid restrictions.

13. SELLER INFORMATION SHOWN TO BUYERS

Hoskay may display Seller information where reasonably necessary to identify the Seller or comply with applicable law.

This may include:

  • legal or trading name;
  • Seller/shop name;
  • business status;
  • business address;
  • company registration number;
  • VAT number;
  • business contact information;
  • other legally required trader information.

Hoskay will not publicly display verification documents or bank information merely because they were provided during Seller verification.

The Seller must ensure that all public Seller information is accurate.

14. PRODUCTS PERMITTED ON HOSKAY

The Seller may list only Products that:

  • are lawful;
  • are authentic;
  • are safe;
  • are owned by the Seller or may lawfully be sold by the Seller;
  • are accurately represented;
  • comply with Hoskay policies;
  • comply with applicable product requirements.

Hoskay may approve or reject Product categories.

Hoskay may particularly review whether Products are appropriate for the character and commercial positioning of the Hoskay marketplace.

15. PROHIBITED PRODUCTS

The Seller must not offer Products that are:

  • illegal;
  • counterfeit;
  • stolen;
  • recalled;
  • unsafe;
  • prohibited from sale;
  • materially misleading;
  • infringing intellectual property rights;
  • prohibited under Hoskay's Prohibited Products Policy;
  • otherwise unsuitable for lawful sale through the Platform.

Hoskay may remove or restrict a Product where it reasonably considers that a legal, safety, fraud, intellectual-property or compliance concern exists.

16. PRODUCT SAFETY AND COMPLIANCE

The Seller is responsible for compliance with all safety, conformity, traceability, labelling and market-surveillance requirements applicable to its Products.

Where applicable, Product information must include appropriate:

  • manufacturer information;
  • registered business or trade name;
  • manufacturer postal address;
  • manufacturer electronic contact address;
  • importer information;
  • EU responsible-person information where required;
  • Product identification information;
  • model, batch, serial or other identifiers;
  • safety warnings;
  • instructions;
  • age restrictions;
  • conformity markings;
  • materials or ingredients;
  • other legally required information.

The Seller must retain documentation necessary to demonstrate Product compliance.

Hoskay may request such documentation at any time reasonably necessary.

17. PRODUCT RECALLS AND SAFETY INCIDENTS

The Seller must notify Hoskay without undue delay if:

  • a Product may be unsafe;
  • a Product is recalled;
  • a competent authority requires corrective action;
  • a serious Product safety concern becomes known;
  • a Product may have caused injury;
  • a Product is materially non-compliant with applicable safety requirements.

Hoskay may:

  • remove the Product;
  • prevent further Orders;
  • contact Buyers;
  • require corrective information;
  • facilitate refunds;
  • cooperate with competent authorities;
  • suspend affected Listings or the Seller Account.

The Seller remains responsible for obligations attributable to the Seller or its Product.

18. PRODUCT LISTINGS

The Seller is responsible for every Product Listing.

Listings must contain accurate information, where applicable, regarding:

  • Product name;
  • description;
  • price;
  • availability;
  • materials;
  • ingredients;
  • dimensions;
  • weight;
  • manufacturer or brand;
  • Product identifiers;
  • safety information;
  • Product condition;
  • production or preparation time;
  • delivery;
  • return limitations;
  • legally required information.

Product photographs must reasonably represent the Product being sold.

The Seller must disclose material defects, differences, limitations or relevant characteristics.

The Seller must not use misleading images or descriptions.

19. INTELLECTUAL PROPERTY

The Seller confirms that it owns or has appropriate permission to use all Seller Content.

The Seller must not infringe:

  • copyrights;
  • trademarks;
  • designs;
  • patents;
  • image rights;
  • database rights;
  • other intellectual-property or proprietary rights.

By providing Seller Content, the Seller grants Hoskay a non-exclusive, worldwide, royalty-free licence to use, host, reproduce, display, format, technically adapt and promote that content for purposes connected with operating and marketing Hoskay.

Ownership of Seller Content remains with the Seller or applicable rights holder.

20. PRICES

The Seller determines its Product prices.

Prices must:

  • be accurate;
  • include VAT where legally required;
  • comply with applicable price-display rules;
  • not mislead Buyers;
  • correspond to the amount charged.

The Buyer must be shown the applicable Product price, delivery cost and total payable amount before submitting an Order.

The Seller is responsible for compliance with rules relating to promotions, discounts, previous prices and similar price claims.

21. HOSKAY COMMISSION

Hoskay charges a Commission equal to 15% of the Product sale price for successfully completed sales made through the Platform.

Unless expressly stated otherwise, the Commission is calculated on the Product price actually paid by the Buyer and excludes separately stated shipping charges.

Example:

Product price: EUR 100
Hoskay Commission: EUR 15
Seller amount before other permitted deductions: EUR 85

The Seller expressly authorises Hoskay to deduct the Commission before paying the remaining amount to the Seller.

Additional deductions may include, where applicable:

  • refunds;
  • cancellations;
  • chargebacks;
  • payment reversals;
  • payment-processing costs;
  • bank fees;
  • currency-conversion fees;
  • optional advertising or promotional services;
  • amounts owed by the Seller to Hoskay.

Unless expressly stated otherwise, Hoskay's fees are exclusive of applicable VAT.

22. CHANGES TO FEES

Hoskay may change its Commission or introduce or amend other fees.

Material changes will be notified to affected Sellers in advance in accordance with applicable law.

Where applicable, notice will normally be provided at least 15 days before the change takes effect, unless a shorter period is legally permitted or necessary due to circumstances such as legal obligations, fraud prevention or urgent security risks.

Changes will not normally apply retroactively to completed Orders.

23. ORDERS

The Seller must monitor Orders and process them promptly.

The Seller is responsible for:

  • Product availability;
  • preparation;
  • fulfilment;
  • dispatch;
  • delivery information;
  • Buyer communication;
  • legally required sales documents;
  • resolving Order-related problems.

The Seller must not knowingly accept Orders it cannot reasonably fulfil.

24. SALES CONTRACT

The Sales Contract for a Seller's Product is concluded directly between the Seller and the Buyer.

The Seller is responsible for:

  • supplying the Product;
  • conformity;
  • safety;
  • delivery;
  • cancellation obligations;
  • withdrawal rights;
  • returns;
  • refunds;
  • complaints;
  • statutory guarantees.

Hoskay may facilitate these processes without becoming the Seller.

25. PAYMENT COLLECTION

Buyers may pay through payment methods offered at the Hoskay checkout.

Where payment is collected through Hoskay, Shopify or an authorised payment provider, the Seller authorises Hoskay and the relevant providers to:

  • collect the Buyer payment;
  • record amounts attributable to the Seller;
  • deduct Commission;
  • process permitted deductions;
  • calculate Seller balances;
  • transfer or facilitate transfer of the remaining balance.

The Seller must not request that the Buyer pay the same amount again outside Hoskay.

26. CASH ON DELIVERY

Where Cash on Delivery (“COD”) is offered, amounts attributable to the Seller and Hoskay may be accounted for differently from prepaid Orders.

Where a Seller or courier receives amounts directly from a Buyer, the Seller remains liable for Commission and any other amounts owed to Hoskay.

Hoskay may:

  • deduct such amounts from future Payouts;
  • offset them against Seller balances;
  • issue an invoice;
  • request payment directly.

The Seller must settle negative balances within any reasonable period communicated by Hoskay.

27. SELLER PAYMENT DETAILS

The Seller must provide accurate payment information necessary for Payouts.

This may include:

  • bank account holder;
  • IBAN;
  • payment method;
  • other reasonable payment information.

Hoskay may require the payment account to belong to:

  • the approved Seller, including an individual selling in their own name; or
  • another person or entity legally authorised to receive the relevant Seller funds.

Hoskay may request proof of bank account ownership or authority.

The Seller must notify Hoskay before changing payment details.

28. SELLER PAYOUTS

Eligible Seller balances will be paid according to the Payout process and schedule applicable to the Seller Account.

Hoskay may use automated systems to calculate or process eligible balances.

The frequency at which Webkul, Shopify or another technical system performs automated processing does not mean that every Order becomes immediately payable.

An Order may become eligible for Payout only after conditions established by Hoskay have been satisfied, which may include:

  • payment confirmation;
  • Order fulfilment;
  • dispatch;
  • delivery;
  • expiry of an applicable hold period;
  • absence of an unresolved refund;
  • absence of a chargeback or payment dispute;
  • completed Seller verification.

Unless another schedule is displayed in the Seller dashboard or agreed with the Seller, Hoskay will normally process eligible Seller balances on a periodic basis, which may include a 14-day Payout cycle.

Hoskay may modify the operational Payout schedule by giving appropriate notice.

29. PAYOUT HOLDS

Hoskay may reasonably delay or reserve a Payout where necessary because of:

  • refunds;
  • cancellations;
  • chargebacks;
  • suspected fraud;
  • unresolved complaints;
  • Product safety issues;
  • incomplete Seller verification;
  • incorrect bank details;
  • unpaid Commission;
  • legal obligations;
  • payment-provider requirements;
  • anticipated transaction liabilities.

Amounts will not intentionally be held longer than reasonably necessary, subject to applicable legal and payment-provider requirements.

30. PAYMENT ERRORS

The Seller must review available transaction and Payout records.

Suspected errors must be reported to Hoskay without undue delay.

Hoskay is not responsible for delays caused solely by:

  • incorrect Seller payment information;
  • the receiving bank;
  • payment-provider processing;
  • bank holidays;
  • payment-network failures;
  • fraud or compliance checks;
  • circumstances reasonably outside Hoskay's control.

31. CHARGEBACKS

Where a Buyer disputes a payment, the Seller must cooperate with Hoskay and the relevant payment provider.

The Seller may be asked to provide:

  • proof of dispatch;
  • tracking information;
  • proof of delivery;
  • Product information;
  • Buyer communications;
  • invoices;
  • refund records.

Where a chargeback or payment reversal is successful, Hoskay may recover amounts attributable to the Seller where lawfully permitted.

32. TAXES

Every Seller, including an individual craft practitioner or independent professional, must determine and comply with the tax, social-insurance, registration, accounting and sales-document obligations applicable to their activity. Acceptance by Hoskay does not create a tax exemption or determine a particular tax regime.

This includes, where applicable:

  • VAT registration;
  • calculation of taxes;
  • accounting records;
  • income declarations;
  • invoicing;
  • tax returns;
  • social or other business obligations.

Hoskay may collect, retain and report Seller and transaction information where required by applicable tax or platform-reporting laws.

Where the law requires Hoskay to withhold, document, collect or report an amount or transaction, Hoskay will comply with that obligation. These Seller Terms do not transfer Hoskay’s own statutory obligations to Sellers. Sellers must provide accurate information reasonably required for applicable reporting, including DAC7 where relevant. Hoskay does not provide individual tax advice; Sellers should obtain advice on their own circumstances.

33. INVOICES AND SALES DOCUMENTS

The Seller remains responsible for issuing invoices, receipts, warranty documents and other sales documents required by applicable law.

Hoskay or integrated software may provide technical functionality relating to invoices without assuming the Seller's legal responsibility.

34. SHIPPING

Each Seller is responsible for shipping its own Products unless Hoskay expressly introduces another fulfilment arrangement.

The Seller must:

  • establish appropriate shipping methods;
  • provide delivery prices;
  • provide realistic delivery estimates;
  • prepare shipping documents;
  • dispatch Products within stated periods;
  • provide tracking where reasonably available;
  • cooperate regarding delayed, damaged or missing shipments.

35. SHIPPING CHARGES

Sellers may establish permitted shipping charges through functionality made available by Hoskay.

Where a Buyer has prepaid Seller shipping charges through Hoskay, amounts properly attributable to the Seller for shipping may be included in Seller settlement calculations, subject to the configuration of the Platform and applicable deductions.

The Commission treatment of shipping may be specified separately in the Seller dashboard or applicable fee schedule.

36. PACKAGING

The Seller is responsible for suitable packaging.

Products must be packaged in a manner appropriate for:

  • their nature;
  • size;
  • weight;
  • fragility;
  • foreseeable transport;
  • applicable safety requirements.

The Seller is responsible for damage caused by inadequate packaging where legally attributable to the Seller.

37. CONSUMER RIGHT OF WITHDRAWAL

Where the Buyer is a Consumer and the Seller is a professional trader, the Seller must comply with applicable statutory withdrawal rights.

Unless a lawful exception applies, Consumers will generally have the applicable statutory period to exercise their right of withdrawal.

The Seller must provide appropriate withdrawal and return information.

38. PERSONALISED AND CUSTOM PRODUCTS

Certain personalised Products or Products made to the Buyer's specifications may be excluded from the statutory right of withdrawal where all conditions of the applicable legal exception are satisfied.

The Seller must clearly identify relevant customisation before purchase.

An exclusion from the right of withdrawal does not remove legal rights relating to Products that are:

  • defective;
  • damaged;
  • incorrect;
  • unsafe;
  • materially non-conforming.

39. RETURNS AND REFUNDS

The Seller is responsible for handling returns and refunds in accordance with:

  • applicable law;
  • the Hoskay Refund and Returns Policy;
  • these Seller Terms;
  • information given to the Buyer.

Where the Buyer is responsible for return shipping under applicable law, this must be appropriately disclosed.

Where a Product is defective, incorrect or non-conforming, the Seller must bear costs where required by law.

40. DEFECTIVE OR NON-CONFORMING PRODUCTS

The Seller is responsible for ensuring that Products conform to the Sales Contract.

Applicable remedies may include:

  • repair;
  • replacement;
  • price reduction;
  • termination of the Sales Contract;
  • refund.

Hoskay may facilitate communication or refunds without assuming the Seller's underlying legal obligations.

41. BUYER COMPLAINTS

The Seller must handle Buyer complaints professionally and within a reasonable time.

The Seller should maintain records reasonably necessary for resolving disputes.

Repeated failure to handle valid complaints may result in restrictions.

42. COMMUNICATION WITH BUYERS

The Seller may use Buyer contact information only where reasonably necessary for purposes such as:

  • fulfilment;
  • delivery;
  • Product questions;
  • returns;
  • refunds;
  • complaints;
  • legal obligations.

The Seller must not:

  • harass Buyers;
  • send spam;
  • misuse Buyer contact information;
  • use Buyer information for unrelated marketing without an appropriate legal basis;
  • pressure Buyers regarding reviews;
  • disclose Buyer data improperly.

43. PERSONAL DATA

Where the Seller processes Buyer Personal Data for its own sales, invoicing, delivery, complaint or legal obligations, the Seller may act as an independent data controller.

The Seller must comply with applicable data-protection rules.

The Seller must:

  • process only necessary data;
  • use data only for lawful purposes;
  • keep data secure;
  • restrict access;
  • respect applicable data-subject rights;
  • retain data only as necessary or legally required.

44. SELLER VERIFICATION DATA

Hoskay may process Personal Data relating to Seller Applicants, Sellers, representatives and authorised account users for purposes including:

  • account registration;
  • identity verification;
  • business verification;
  • fraud prevention;
  • payment administration;
  • compliance;
  • Platform security;
  • dispute handling;
  • legal obligations.

The categories of data may include identification information, business data, representation information and payment account information.

Further details regarding purposes, legal bases, recipients, retention and data-subject rights are provided in the Hoskay Privacy Policy.

45. CONFIDENTIALITY

The Seller must protect confidential information relating to:

  • Hoskay;
  • Buyers;
  • other Sellers;
  • Platform systems;
  • payments;
  • security;
  • non-public business information.

Such information may be used only for its authorised purpose.

46. REVIEWS

The Seller must not:

  • create fake reviews;
  • purchase fabricated reviews;
  • submit reviews of its own Products pretending to be a Buyer;
  • arrange false reviews;
  • manipulate ratings;
  • pressure Buyers to remove genuine negative feedback.

Hoskay may remove content that breaches applicable review rules or Platform policies.

47. REPORTING ILLEGAL OR UNSAFE CONTENT

Illegal, counterfeit, unsafe or infringing Products or content may be reported to:

office@hoskay.com

Reports should provide enough information to identify and investigate the issue.

48. MONITORING AND COMPLIANCE

Hoskay may perform reasonable monitoring necessary to:

  • operate the Platform;
  • prevent fraud;
  • investigate complaints;
  • assess compliance;
  • protect Buyers;
  • comply with law;
  • investigate Product safety concerns.

Hoskay does not undertake a general obligation to pre-inspect every Product or transaction.

49. RANKING AND VISIBILITY

The ordering and visibility of Products and Seller shops may be influenced by factors including:

  • relevance to Buyer searches;
  • Product information quality;
  • category;
  • availability;
  • price;
  • delivery conditions;
  • Seller performance;
  • engagement;
  • ratings;
  • reviews;
  • recency;
  • compliance;
  • promotional participation.

Some parameters may have greater importance depending on the context of the relevant search or Platform area.

Where paid promotional placement is available, Hoskay may allow Sellers to improve visibility through paid promotional services. Such promotional placement will be identified where required.

Hoskay does not guarantee a particular ranking, traffic level or number of sales.

50. DATA ACCESS

Through the Seller dashboard or other Hoskay systems, the Seller may receive information relating to its own:

  • Products;
  • Orders;
  • customers where necessary;
  • payments;
  • Payouts;
  • performance;
  • communications.

The Seller does not receive a right to confidential information belonging to other Sellers.

Hoskay may use aggregated or anonymised Platform data for analytics, security, planning, marketing and Platform improvement.

After termination, access to Seller dashboard data may be restricted, while Hoskay may retain information as required or permitted by applicable law and the Privacy Policy.

51. MARKETING AND ADDITIONAL DISTRIBUTION CHANNELS

Hoskay may promote Seller Products through channels such as:

  • Hoskay social-media accounts;
  • online advertising;
  • email marketing;
  • search engines;
  • affiliate or influencer marketing;
  • promotional campaigns;
  • third-party advertising platforms;
  • other Hoskay promotional channels.

Participation in paid Seller-specific promotional services may require separate agreement or fees.

Hoskay does not acquire ownership of the Seller's Products merely by promoting them.

52. OPTIONAL SERVICES

Hoskay may offer optional services including:

  • advertising;
  • promoted listings;
  • Product photography;
  • enhanced analytics;
  • training;
  • verification assistance;
  • other marketplace services.

Additional fees or terms may apply.

53. RESTRICTION OF PRODUCT LISTINGS

Hoskay may remove, restrict or disable a Product Listing where there is a reasonable basis to believe that:

  • it is illegal;
  • it is unsafe;
  • required information is missing;
  • the Listing is misleading;
  • intellectual-property rights may be infringed;
  • the Product is prohibited;
  • verification documents are missing;
  • the Product breaches Hoskay policies;
  • restriction is required by law or a competent authority.

Where required, Hoskay will provide an appropriate statement of reasons.

54. SUSPENSION OF SELLER ACCOUNTS

Hoskay may suspend or restrict a Seller Account where:

  • illegal or unsafe Products are offered;
  • counterfeit Products are suspected;
  • Orders are repeatedly not fulfilled;
  • Consumer rights are repeatedly breached;
  • Buyer Personal Data is misused;
  • fraud is suspected;
  • fees remain unpaid;
  • the Seller materially breaches these Seller Terms;
  • suspension is required by law or a competent authority.

Temporary measures may remain in place for as long as reasonably necessary to investigate or remedy the relevant issue.

55. TERMINATION BY THE SELLER

The Seller may request closure of its Seller Account by contacting:

office@hoskay.com

Before closure, the Seller must resolve outstanding:

  • Orders;
  • shipments;
  • returns;
  • refunds;
  • complaints;
  • chargebacks;
  • fees;
  • negative balances;
  • Payout issues.

Termination does not remove obligations arising from previous sales.

56. TERMINATION BY HOSKAY

Hoskay may terminate the Seller relationship where there is a valid contractual, legal, fraud-prevention, security, safety or operational reason.

Where required by applicable law, Hoskay will provide advance notice and a statement of reasons.

Where applicable, termination of the entire Seller service will normally be notified at least 30 days in advance.

Immediate or shorter-notice termination may occur where legally permitted, including circumstances involving:

  • serious legal violations;
  • serious Product safety risks;
  • fraud;
  • false or forged documentation;
  • repeated material breaches;
  • urgent legal requirements;
  • circumstances creating a serious risk to Buyers, Sellers or Hoskay.

57. EFFECTS OF TERMINATION

Following termination:

  • Product Listings may be removed;
  • Seller access may be restricted;
  • pending Orders must be completed or lawfully cancelled;
  • complaints and refunds must be resolved;
  • unpaid fees remain payable;
  • permitted deductions may be made;
  • remaining Seller balances will be processed after applicable liabilities are resolved.

The Seller remains responsible for Products sold before termination.

58. SELLER COMPLAINTS AND INTERNAL REVIEW

A Seller may contact Hoskay concerning:

  • Listing restrictions;
  • account suspension;
  • account termination;
  • Payout issues;
  • Platform technical issues;
  • other decisions directly affecting the Seller.

Complaints may be submitted free of charge to:

office@hoskay.com

The Seller should include:

  • Seller name;
  • shop name;
  • account email;
  • affected Order or Product where applicable;
  • description of the issue;
  • supporting evidence;
  • requested resolution.

Hoskay will review complaints fairly and within a reasonable period.

Where a restriction or suspension is reversed, Hoskay will take reasonable steps to restore affected access or Listings.

59. SELLER INDEMNITY

To the extent permitted by applicable law, the Seller will compensate Hoskay for reasonable losses, liabilities and third-party claims arising directly from matters attributable to the Seller, including:

  • Seller Products;
  • breach of Sales Contracts;
  • illegal or unsafe Products;
  • intellectual-property infringement;
  • misleading Listings;
  • misuse of Personal Data;
  • tax or invoicing violations;
  • fraud;
  • material breach of these Seller Terms.

This does not apply to losses caused by Hoskay's own unlawful conduct, fraud or negligence to the extent Hoskay is legally responsible.

60. LIABILITY OF HOSKAY

Nothing in these Seller Terms limits liability that cannot lawfully be excluded or limited.

Hoskay is responsible for obligations that it directly undertakes as Platform operator.

To the extent permitted by law, Hoskay is not responsible for losses caused by:

  • Seller Products;
  • Seller conduct;
  • couriers;
  • Buyers;
  • incorrect Seller information;
  • third-party systems;
  • payment-provider interruptions;
  • circumstances beyond Hoskay's reasonable control.

Hoskay does not guarantee:

  • uninterrupted Platform availability;
  • a particular volume of traffic;
  • a particular number of Orders;
  • a particular Seller income;
  • approval of every Product.

For business Sellers, Hoskay's aggregate contractual liability arising from the Seller relationship will, to the extent legally permitted, not exceed the Commission and Platform fees paid by that Seller to Hoskay during the six months preceding the event giving rise to the claim.

This limitation does not apply where prohibited by mandatory law.

61. EVENTS OUTSIDE REASONABLE CONTROL

Neither party will be liable for delays caused by events reasonably outside its control, including:

  • natural disasters;
  • war;
  • civil disturbance;
  • widespread transport disruption;
  • major technical outages;
  • government restrictions;
  • public emergencies.

Each party must take reasonable measures to reduce the effects of such events.

62. CHANGES TO THESE SELLER TERMS

Hoskay may update these Seller Terms where reasonably necessary due to:

  • changes in law;
  • changes to the Platform;
  • security requirements;
  • payment-provider requirements;
  • changes in Seller functionality;
  • new services;
  • fee or operational changes.

Material proposed changes will be communicated to affected Sellers on a durable medium, such as email or another method allowing the Seller to retain the information.

Where applicable, Hoskay will give at least 15 days' notice before material changes take effect.

A longer notice period may be provided where reasonably necessary for Sellers to make technical or commercial adaptations.

A shorter period may apply where permitted by law, including where immediate changes are necessary because of legal obligations or unforeseen and imminent security, fraud or cybersecurity risks.

Changes will not normally apply retroactively.

63. ASSIGNMENT

The Seller may not transfer its Seller Account or its rights under these Seller Terms without Hoskay's prior written approval.

Hoskay may transfer its rights and obligations in connection with a sale, merger, restructuring or transfer of the Hoskay business, subject to applicable law.

64. SEVERABILITY

If any provision is invalid or unenforceable, the remaining provisions will continue to apply.

65. NO WAIVER

A failure or delay by Hoskay to enforce a right does not constitute a waiver of that right.

66. ENTIRE AGREEMENT

These Seller Terms, together with policies and fee arrangements incorporated into them, form the agreement between Hoskay and the Seller concerning the Seller Account.

They do not replace the separate Sales Contract between Seller and Buyer.

67. GOVERNING LAW

These Seller Terms are governed by the laws of the Republic of Bulgaria.

Mandatory provisions of applicable EU or national law will continue to apply where relevant.

68. JURISDICTION

Disputes between Hoskay and a business Seller will be submitted to the competent courts of the Republic of Bulgaria, subject to mandatory jurisdiction rules.

The parties should first attempt to resolve disputes through good-faith communication.
