1. ABOUT THESE TERMS
Welcome to Hoskay.
These Terms of Service (“Terms”) govern your access to and use of the Hoskay website, online marketplace, accounts, features, tools and related services, collectively referred to as the “Platform”.
The Platform is operated by:

In these Terms, “Hoskay”, “we”, “us” and “our” refer to Hendex LTD.
Hoskay is powered by Shopify, which provides certain technical infrastructure necessary for the operation of the Platform. Hoskay may also use Webkul and other third-party services to provide marketplace functionality.
By accessing, registering for or using the Platform, you agree to these Terms and acknowledge that you have read our Privacy Policy, Cookie Policy, Shipping Policy and Refund and Returns Policy.
Sellers and Seller Applicants may also be subject to separate Seller Terms, policies, guidelines and instructions made available by Hoskay.
If you do not agree to these Terms, you must not use the Platform.
Nothing in these Terms excludes or restricts any mandatory rights granted to Consumers under applicable law.
2. DEFINITIONS
For the purposes of these Terms:
“Buyer” means a person who browses the Platform or purchases a Product through it.
“Consumer” means an individual acting for purposes outside their trade, business, craft or profession.
“Seller” means an independent person or business that has been approved by Hoskay to offer Products through the Platform.
“Seller Applicant” means a person or business that has submitted or is in the process of submitting an application to become a Seller.
“Product” means any goods or other items offered for sale by a Seller through the Platform.
“Order” means an order submitted by a Buyer for one or more Products.
“Product Page” means the page containing the description, price and other information relating to a Product.
“Seller Account” means an account approved by Hoskay that allows a Seller to list and manage Products and Orders through the Platform.
3. ROLE OF HOSKAY
Hoskay operates an online marketplace that enables independent Sellers to list and sell Products to Buyers.
Unless Hoskay is expressly identified as the Seller on the relevant Product Page, Hoskay is not the seller, manufacturer, importer, distributor or owner of the Products listed on the Platform.
The identity and business status of the relevant Seller will be displayed on the Product Page, during the ordering process, in the Order information or in the Order confirmation.
When a Buyer purchases a Product offered by an independent Seller, the sales contract is concluded directly between the Buyer and that Seller.
The Seller is responsible for:

the accuracy and completeness of its Product listings;
-
the quality, legality, conformity and safety of its Products;
-
determining the Product price;
-
Product availability;
-
accepting and fulfilling Orders;
-
packaging and dispatching Products;
-
delivery information and delivery performance;
-
issuing invoices or other legally required documents;
-
handling cancellations, returns, complaints and warranty claims;
-
complying with applicable tax, consumer protection, product safety and other legal requirements.
Hoskay provides the technical environment through which Buyers and Sellers may enter into transactions.
Hoskay may also facilitate communications, payments, refunds, complaints or dispute resolution without becoming the Seller or a party to the sales contract.
Nothing in this section excludes any responsibility that Hoskay cannot lawfully exclude in its capacity as operator of the Platform.
4. SELLER STATUS
The Platform may allow Products to be offered by Sellers acting in the course of a trade or business and, where expressly permitted by Hoskay, by private individuals.
The status of the Seller will be displayed to the Buyer before an Order is submitted.
Where a Seller is identified as a business or professional trader, the Buyer may benefit from mandatory consumer protection rights, including rights relating to withdrawal, conformity, remedies and statutory guarantees.
Where a Seller is clearly identified as a private individual who is not acting for commercial or professional purposes, certain consumer protection rules applicable to contracts between a Consumer and a trader may not apply.
Buyers should review the identity, status and information of the relevant Seller before submitting an Order.
5. ELIGIBILITY AND ACCOUNTS
You must be legally capable of entering into a binding contract to make a purchase or register as a Seller through the Platform.
Where you are under the age required to enter into a binding contract, you may use the Platform only with the involvement and permission of a parent or legal guardian.
You may be required to create an account or provide information including your name, email address, telephone number, billing details and delivery address.
You confirm that all information submitted by you is accurate, current and complete.
Seller Applicants and Sellers must promptly notify Hoskay of any change to their:

identity;
-
business registration;
-
contact details;
-
registered or business address;
-
authorised representative;
-
ownership or management information;
-
licences, permits or registrations;
-
bank or payout account;
-
VAT status;
-
other information submitted during the application or verification process.
You are responsible for:
-
keeping your login credentials confidential;
-
restricting access to your account;
-
promptly updating incorrect or outdated account information;
-
notifying Hoskay if you suspect unauthorised access to your account.
You must not sell, transfer, assign or otherwise provide your account to another person without Hoskay’s prior written approval.
We may suspend or restrict an account where we reasonably believe that it is being used unlawfully, fraudulently or in breach of these Terms.
6. SELLER APPLICATIONS
A person or business wishing to offer Products through the Platform must submit a Seller application and receive Hoskay’s approval before publishing or selling Products.
Submitting a Seller application does not guarantee approval.
Hoskay may establish eligibility requirements relating to:

the Seller Applicant’s identity and legal status;
-
the nature of the Seller Applicant’s business;
-
the types of Products to be offered;
-
applicable licences, registrations or permits;
-
product safety and regulatory compliance;
-
payment and payout arrangements;
-
the Seller Applicant’s ability to comply with these Terms and applicable law.
A Seller Applicant must provide all information and documents reasonably requested by Hoskay.
Unless Hoskay provides another submission method, the requested Seller documents must be sent by email to:
The email should be sent from the email address used for the Seller application and should include the Seller Applicant’s full name or registered business name.
Seller Applicants should provide only the documents and information requested by Hoskay and should conceal any information that is not relevant or necessary for the verification.
Hoskay may request additional information or documents where reasonably necessary to complete the review of an application.
Hoskay may approve, reject or place conditions on a Seller application based on reasonable legal, safety, compliance, fraud-prevention, operational or marketplace considerations.
Approval as a Seller does not constitute an endorsement, certification or guarantee by Hoskay of the Seller, its business or its Products.
7. SELLER INFORMATION AND VERIFICATION DOCUMENTS
To verify a Seller Applicant’s or Seller’s identity, legal status, authority, reliability, payment information or eligibility, Hoskay may request documents including:

company registration documents;
-
documents showing the company’s current legal status;
-
VAT registration documents, where applicable;
-
proof of registered office or business address;
-
proof of bank or payout account ownership;
-
identity documents of a sole trader, director, owner, representative or authorised person;
-
documents showing that a person is authorised to represent a business;
-
licences, permits, certificates or professional registrations;
-
documents relating to the authenticity, origin, labelling, safety or regulatory compliance of Products;
-
invoices or supply-chain documentation;
-
any other documents reasonably necessary to prevent fraud, protect Platform users or comply with applicable law.
Seller Applicants and Sellers must ensure that all submitted information and documents are:
-
authentic;
-
accurate;
-
complete;
-
current;
-
valid;
-
legible;
-
not misleading.
Hoskay may verify submitted information using:
-
official public registers;
-
the documents provided by the Seller Applicant or Seller;
-
payment or verification service providers;
-
competent authorities;
-
other lawful and reasonably reliable sources.
Hoskay may contact the Seller Applicant or Seller to confirm submitted information.
Hoskay may repeat or update a Seller verification where reasonably necessary, including where:
-
previously supplied information has changed;
-
a document has expired;
-
a complaint has been received;
-
suspicious activity has been identified;
-
the Seller changes its payment or payout details;
-
the Seller begins offering a regulated category of Products;
-
verification is required by law or by a service provider used by Hoskay.
If Hoskay has reason to believe that Seller information is inaccurate, incomplete, outdated or invalid, Hoskay may request that it be corrected or completed within a specified period.
Hoskay may restrict or suspend the Seller’s ability to offer Products, receive Orders or receive payouts until the requested information or documents have been provided and verified.
Seller verification documents will be processed and retained in accordance with the Hoskay Privacy Policy.
8. REFUSAL OR SUSPENSION OF A SELLER APPLICATION
Hoskay may refuse, suspend or discontinue the review of a Seller application where:

requested information or documents have not been provided;
-
submitted information is inaccurate, incomplete, expired or misleading;
-
submitted documents appear to be false, altered, invalid or unauthorised;
-
the applicant’s identity or authority cannot reasonably be verified;
-
the applicant does not satisfy the Platform’s eligibility requirements;
-
there are reasonable concerns relating to fraud, illegality or impersonation;
-
there are reasonable concerns relating to product safety, intellectual property infringement or prohibited Products;
-
the applicant has previously been suspended or removed from the Platform;
-
approval would expose Buyers, Sellers, Hoskay or third parties to unreasonable legal, financial, safety or reputational risk;
-
Hoskay is required to refuse or suspend the application by law, a competent authority or a relevant service provider.
Where appropriate and required by applicable law, Hoskay will provide the Seller Applicant with information about the reason for the decision.
A rejected Seller Applicant may submit a new application only where the reason for the rejection has been resolved and Hoskay has not prohibited a further application.
9. PRODUCT LISTINGS
Product descriptions, photographs, specifications, prices, availability and other Product-related information are generally supplied by the relevant Seller.
The Seller is responsible for ensuring that every Product listing is accurate, lawful, complete and not misleading.
Hoskay may review, correct, restrict or remove a listing where we reasonably believe that it:
-
contains inaccurate or misleading information;
-
infringes intellectual property or other third-party rights;
-
concerns an illegal, unsafe, recalled or prohibited Product;
-
breaches these Terms or the applicable Seller Terms;
-
does not provide legally required information;
-
may expose Buyers, Sellers, Hoskay or third parties to harm or legal liability.
Although reasonable efforts may be made to display Products accurately, the appearance and colours of a Product may vary depending on the Buyer’s device, display settings and lighting conditions.
Minor visual differences that do not constitute a lack of conformity under applicable law do not entitle the Buyer to a remedy.
Buyers should review all material characteristics, measurements, ingredients, materials, compatibility information, warnings and usage instructions before placing an Order.
10. PRICES AND CHARGES
The price of each Product is displayed on its Product Page and is determined by the relevant Seller.
Before submitting an Order, the Buyer will be shown the total amount payable, including applicable taxes and any delivery charges or other mandatory fees that can reasonably be calculated in advance.
Where a delivery charge cannot reasonably be calculated in advance, the method by which it will be calculated will be disclosed before the Buyer submits the Order.
A Seller may change the price of a Product at any time before an Order is submitted.
A price change will not affect an Order that has already been accepted, except where there is an obvious and genuine pricing error.
Where a Product has been listed at an obviously incorrect price because of a technical, typographical or administrative error, the relevant Seller may cancel the Order.
The Buyer will be informed and any amount already paid for the cancelled Product will be refunded.
Customs duties, import taxes or similar charges may apply where an international transaction is involved. The party responsible for such charges will be identified before the Order is submitted whenever required by law.
11. PLACING AN ORDER
By submitting an Order, the Buyer makes an offer to purchase the selected Product from the Seller identified in the Product listing or checkout process.
Before submitting the Order, the Buyer will have the opportunity to review and correct the contents of the cart, delivery information and other Order details.
Submitting an Order does not itself guarantee that the Order has been accepted.
The sales contract is concluded when the Seller accepts the Order or when the Buyer receives an Order acceptance or dispatch confirmation, depending on the process displayed during checkout.
An automated acknowledgement confirming receipt of an Order does not necessarily constitute acceptance unless it expressly states otherwise.
The Seller may decline or cancel an Order where, for example:
-
the Product is unavailable;
-
payment cannot be authorised;
-
the delivery address cannot be served;
-
the Order appears fraudulent or unlawful;
-
the Product was listed with an obvious error;
-
a purchase restriction applies;
-
the Buyer has materially breached these Terms.
The Buyer will be informed of a cancellation and any payment received for the cancelled Product will be refunded.
Where one Order contains Products from different Sellers, each Seller’s Products may form a separate sales contract and may be delivered separately.
12. PAYMENT
Available payment methods will be displayed during checkout.
Payments may be processed by Shopify, a payment service provider or another authorised third party.
Hoskay does not necessarily receive or store complete payment card details.
By submitting payment information, the Buyer confirms that:
-
the information is accurate and complete;
-
the Buyer is authorised to use the selected payment method;
-
sufficient funds or credit are available;
-
the payment does not breach applicable law.
A payment provider may conduct security, identity, fraud-prevention or authorisation checks.
An Order may be delayed or cancelled where payment is declined, reversed, disputed or considered potentially fraudulent.
Hoskay may facilitate the collection, allocation or transfer of payments between Buyers and Sellers.
Such facilitation does not by itself make Hoskay the Seller or a party to the sales contract.
13. SHIPPING AND DELIVERY
Each Seller is independently responsible for organising and carrying out the dispatch and delivery of its Products.
The Seller is responsible for:
-
selecting the available delivery methods;
-
stating the applicable delivery charges;
-
providing reasonable delivery estimates;
-
preparing any necessary shipping documentation;
-
entering accurate parcel and delivery information;
-
packaging Products appropriately and securely;
-
dispatching Products within the stated period;
-
providing tracking information where available;
-
assisting with delayed, damaged, lost or undelivered parcels.
Delivery dates and timeframes shown on the Platform are estimates unless the Seller expressly agrees to a guaranteed delivery date.
The Seller must deliver the Product within the agreed period or, where no period has been agreed, within the period required by applicable law.
The risk of loss or damage passes to a Consumer in accordance with applicable consumer protection law.
Nothing in these Terms transfers risk to a Consumer earlier than permitted by law.
Where a Buyer independently selects and instructs a carrier that was not offered by the Seller, different statutory rules concerning the transfer of risk may apply.
Hoskay does not physically package, store, dispatch or transport Products offered by independent Sellers.
To the extent permitted by law, Hoskay is not responsible for:
-
inadequate, damaged or opened packaging prepared by a Seller;
-
incorrect shipping information entered by a Seller;
-
delays attributable to a Seller or carrier;
-
loss or damage occurring during transport;
-
failed delivery caused by an incorrect or incomplete address supplied by the Buyer;
-
failure by the Buyer to collect a parcel;
-
customs processing;
-
events outside Hoskay’s reasonable control.
In the event of a delivery problem, the Buyer should contact the relevant Seller through the contact method available on the Platform.
Hoskay may provide reasonable assistance with communications or dispute resolution.
A Seller’s use of a carrier does not remove any responsibility that the Seller has towards a Consumer under applicable law.
14. CANCELLATION AND RIGHT OF WITHDRAWAL
Where the Buyer is a Consumer and the Seller is acting as a professional trader, the Buyer will generally have the right to withdraw from a distance contract within 14 days without giving a reason, subject to the exceptions provided by applicable law.
For Products, the withdrawal period generally begins on the day on which the Consumer, or a third party designated by the Consumer other than the carrier, receives the Product.
Where multiple Products ordered together are delivered separately, the applicable period may begin when the final Product is received, as provided by law.
To exercise the right of withdrawal, the Consumer must send a clear statement of withdrawal to the relevant Seller before the withdrawal period expires.
The Consumer may use any withdrawal form provided through the Platform but is not required to do so unless applicable law provides otherwise.
The Seller’s contact details and return instructions will be available through the Order information, Product Page, Seller profile or Refund and Returns Policy.
After notifying the Seller of the withdrawal, the Consumer must return the Product within the legally applicable period.
Unless the Seller has agreed to bear the return cost or failed to disclose that the Consumer must bear it, the Consumer may be responsible for the direct cost of returning the Product.
The Consumer is responsible only for any diminished value resulting from handling beyond what is necessary to establish the nature, characteristics and functioning of the Product.
The Seller must refund the amounts owed to the Consumer within the applicable statutory period.
Where legally permitted, the Seller may withhold reimbursement until the Product has been returned or the Consumer has supplied evidence of having sent it back.
The refund will generally be made using the same payment method used for the original transaction, unless another method is expressly agreed and does not result in fees for the Consumer.
15. EXCEPTIONS TO THE RIGHT OF WITHDRAWAL
The right of withdrawal may not apply in circumstances specified by applicable law, including, where relevant:
-
Products made to the Consumer’s specifications or clearly personalised;
-
Products liable to deteriorate or expire rapidly;
-
sealed Products that are not suitable for return for health protection or hygiene reasons and were unsealed after delivery;
-
Products that, after delivery, are inseparably mixed with other items;
-
sealed audio, video or software products that were unsealed after delivery;
-
newspapers, periodicals or magazines, except subscription contracts;
-
certain digital content where performance has begun with the Consumer’s prior express consent and acknowledgement;
-
other Products or contracts excluded by mandatory law.
The relevant Seller must clearly disclose an applicable exception before the Order is submitted.
A Seller may not rely on an exception that does not legally apply to the Product or transaction.
16. RETURNS, NON-CONFORMING PRODUCTS AND COMPLAINTS
The Seller is responsible for ensuring that Products supplied to Consumers conform to the sales contract and applicable law.
Where a Product is defective, damaged, unsafe, materially different from its description or otherwise not in conformity, the Consumer may have statutory rights including:
-
repair;
-
replacement;
-
a proportionate reduction in price;
-
termination of the sales contract;
subject to the conditions provided by applicable law.
Commercial guarantees provided by a Seller or manufacturer do not replace or restrict mandatory statutory rights.
The Buyer should submit a complaint directly to the relevant Seller using the contact details associated with the Order.
The complaint should, where reasonably possible, include:

the Order number;
-
a description of the problem;
-
relevant photographs or documents;
-
the remedy requested by the Buyer.
The Seller is responsible for considering and responding to the complaint in accordance with applicable law.
Hoskay may provide communication tools or reasonable assistance, but such assistance does not transfer the Seller’s legal obligations to Hoskay.
Further information is available in the Refund and Returns Policy, which forms part of these Terms.
17. BUYER RESPONSIBILITIES
The Buyer agrees:
-
to provide accurate contact, billing and delivery information;
-
to use the Platform only for lawful purposes;
-
to review Product and Seller information before purchasing;
-
to comply with reasonable delivery and return instructions;
-
not to submit fraudulent Orders, payment disputes or chargebacks;
-
not to misuse reviews, messaging systems or complaint procedures;
-
not to interfere with the operation or security of the Platform;
-
not to use the Platform to infringe the rights of another person.
Where an Order cannot be delivered because the Buyer supplied an incorrect or incomplete address, failed to collect the parcel or unreasonably refused delivery, the Seller may charge reasonable additional costs to the extent permitted by law and properly disclosed.
18. PROHIBITED USE
You must not use the Platform:
-
for any unlawful, fraudulent or malicious purpose;
-
to infringe intellectual property, privacy or other rights;
-
to upload malware, viruses or harmful code;
-
to gain unauthorised access to systems, accounts or data;
-
to scrape, harvest or systematically extract Platform data without permission;
-
to circumvent security or access restrictions;
-
to impersonate another person or misrepresent your identity;
-
to harass, threaten, defame or abuse another user;
-
to submit false or misleading information;
-
to manipulate prices, reviews, rankings or transactions;
-
to send spam or unauthorised promotional communications;
-
to interfere with another person’s use of the Platform.
We may take proportionate measures in response to suspected breaches, including restricting content, cancelling access or suspending an account.
Where required by applicable law, we will provide an affected user with an explanation of the restriction and information about available review or complaint procedures.
19. REVIEWS AND USER CONTENT
Users may be permitted to submit ratings, reviews, images, comments, questions or other content relating to Products or Sellers.
Users remain responsible for the content they submit.
By submitting content, you confirm that it:
-
reflects your genuine experience or opinion;
-
is accurate to the best of your knowledge;
-
does not contain unlawful, defamatory, abusive or misleading material;
-
does not infringe intellectual property, privacy or other rights;
-
does not include malware, advertising or spam;
-
complies with these Terms and applicable law.
You retain ownership of your content.
By submitting content, you grant Hoskay a non-exclusive, worldwide and royalty-free licence to host, reproduce, format, display, distribute and use it to operate, improve and promote the Platform.
This licence lasts for as long as reasonably necessary for those purposes, subject to applicable law.
We may restrict or remove content where we reasonably believe it is unlawful, fraudulent, irrelevant or in breach of these Terms.
Hoskay does not guarantee that every review has been submitted by a verified purchaser unless it is expressly marked as verified.
20. REPORTING ILLEGAL PRODUCTS OR CONTENT
Users may report Products, listings or content that they reasonably believe to be illegal, unsafe, counterfeit, misleading or otherwise in breach of these Terms.
Reports may be submitted through any reporting function available on the Platform or by email to:
A report should include, where possible:
-
the URL or exact location of the relevant listing or content;
-
an explanation of why it is believed to be illegal or non-compliant;
-
supporting information or evidence;
-
the reporting person’s name and email address, except where anonymous reporting is legally permitted.
Hoskay may investigate the report and take proportionate action, including:
-
requesting information from the Seller;
-
restricting or removing the listing;
-
suspending an account;
-
preventing further Orders;
-
notifying a competent authority.
Submitting a report does not guarantee that the reported material will be removed.
Reports must be made in good faith.
Knowingly submitting false or abusive reports may result in restrictions on the use of the Platform.
21. PRODUCT SAFETY AND RECALLS
Sellers must offer only Products that comply with applicable product safety, labelling, traceability and market surveillance requirements.
Where Hoskay becomes aware that a Product may be illegal, unsafe or subject to a recall, we may:

restrict or remove the relevant listing;
-
prevent further Orders;
-
contact the Seller or affected Buyers;
-
provide safety or recall information;
-
notify or cooperate with competent authorities;
-
take any other action reasonably required by law.
Buyers must follow any safety notice or recall instructions provided by the Seller, manufacturer, Hoskay or a competent authority.
22. INTELLECTUAL PROPERTY
The Platform and its original design, branding, software, layout, text, graphics and other materials created or owned by Hoskay are protected by intellectual property laws.
Product photographs, descriptions, trademarks and other Seller materials may be owned by the relevant Seller, manufacturer or another rights holder.
You may use the Platform only for personal and lawful purposes.
Without prior permission from the relevant rights holder, you must not:
-
reproduce or republish substantial parts of the Platform;
-
commercially exploit Platform content;
-
modify or create derivative works from protected content;
-
remove copyright, trademark or ownership notices;
-
use Hoskay’s branding in a manner suggesting endorsement or affiliation.
No intellectual property rights are transferred to you except for the limited right to use the Platform in accordance with these Terms.
23. THIRD-PARTY SERVICES AND LINKS
The Platform may use or link to services operated by third parties, including:

Shopify;
-
Webkul;
-
payment processors;
-
carriers;
-
analytics providers;
-
social media services.
Third-party services are governed by their own terms and privacy policies.
Hoskay is not responsible for the independent content, availability, security or practices of third-party websites and services, except to the extent that responsibility cannot lawfully be excluded.
The inclusion of a link does not necessarily constitute endorsement.
24. RELATIONSHIP WITH SHOPIFY
The Platform is hosted or technically supported by Shopify.
Shopify provides infrastructure that enables Hoskay to operate the Platform, but Shopify is not the Seller of Products offered by independent Sellers through Hoskay.
Purchases made through the Platform are governed by the sales contract between the Buyer and the Seller identified for the relevant Product.
Shopify is not responsible for the quality, safety, legality, delivery, return or conformity of Products sold through the Platform, except where responsibility arises under mandatory law or Shopify has expressly undertaken a separate obligation.
Personal information may be processed by Shopify as described in the Hoskay Privacy Policy and Shopify’s applicable privacy documentation.
25. PLATFORM AVAILABILITY
We aim to keep the Platform available and secure but do not guarantee uninterrupted or error-free operation.
Access may be temporarily restricted because of:
-
maintenance or updates;
-
technical failures;
-
security incidents;
-
outages affecting third-party providers;
-
legal or regulatory requirements;
-
events outside our reasonable control.
We may change or discontinue non-essential Platform functions, provided that this does not unlawfully affect existing Orders or mandatory Consumer rights.
26. LIMITATION OF HOSKAY’S LIABILITY
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law, including liability for fraud, wilful misconduct or any other liability that cannot legally be excluded.
Hoskay remains responsible for the proper performance of obligations that Hoskay directly undertakes as operator of the Platform.
Where an independent Seller is identified as the seller of a Product, the Seller remains responsible for the sales contract and the Product, including its:

description;
-
price;
-
quality;
-
safety;
-
conformity;
-
packaging;
-
dispatch;
-
delivery;
-
returns;
-
legal guarantees.
To the extent permitted by law, Hoskay is not liable for loss or damage caused solely by:
-
an independent Seller’s breach of the sales contract;
-
inaccurate information supplied by a Seller;
-
a defective, unsafe or unlawful Product offered by a Seller;
-
a carrier’s independent acts or omissions;

a Buyer’s incorrect information or misuse of the Platform;
-
a third-party service outside Hoskay’s reasonable control;
-
events that Hoskay could not reasonably prevent.
Hoskay does not exclude responsibility where it knew or should reasonably have known of unlawful activity and failed to take action required by applicable law.
Hoskay will not be liable for indirect business losses, loss of profit, loss of business opportunity or loss of data suffered by a person acting for business purposes, except where mandatory law provides otherwise.
These limitations do not reduce the mandatory rights of Consumers.
27. SUSPENSION AND TERMINATION
A Buyer may stop using the Platform at any time.
Hoskay may restrict, suspend or terminate access to an account where reasonably necessary because:

the account has been used unlawfully or fraudulently;
-
these Terms have been materially or repeatedly breached;
-
the account poses a security risk;
-
Hoskay is required to act by law or by a competent authority;
-
continued access could cause harm to Buyers, Sellers, Hoskay or third parties;
-
a Seller has failed to provide, update, correct or verify information or documents reasonably requested by Hoskay;
-
information or documents supplied by a Seller appear to be false, altered, invalid, incomplete, expired or misleading;
-
Hoskay cannot reasonably verify the Seller’s identity, authority, business registration, payout details or legal eligibility;
-
a Seller offers or attempts to offer illegal, unsafe, counterfeit, recalled or prohibited Products;
-
a Seller repeatedly fails to fulfil Orders or comply with Consumer rights;
-
a Seller has failed to comply with product safety, tax, invoicing or other legal obligations.
Hoskay may also temporarily restrict a Seller’s listings, Orders or payouts while investigating suspected fraud, illegal activity, Product safety concerns, complaints or breaches of these Terms.
Where appropriate and legally required, Hoskay will provide reasons for the decision and information about available internal complaint options.
Suspension or termination of an account does not automatically cancel valid sales contracts already concluded between a Buyer and a Seller.
Outstanding obligations relating to accepted Orders, payments, delivery, returns, complaints and refunds will continue to apply.
28. PRIVACY AND PERSONAL DATA
Personal data collected through the Platform is processed in accordance with the Hoskay Privacy Policy.
Information and documents submitted by Seller Applicants and Sellers, including identity, registration, bank account, licence and verification documents, will be processed in accordance with the Privacy Policy.
Shopify, Webkul and other service providers may process personal data to provide:

hosting;
-
marketplace functionality;
-
payment processing;
-
security;
-
analytics;
-
communications;
-
delivery support;
-
verification services.
Some providers may process data outside the country in which the user resides, subject to applicable data protection safeguards.

29. COMPLAINTS AND DISPUTE RESOLUTION
For questions relating to the technical operation of the Platform, Seller applications or Seller verification, you may contact Hoskay at:
For complaints concerning a Product, delivery, withdrawal, refund, lack of conformity or statutory guarantee, the Buyer should first contact the relevant Seller.
Hoskay may assist communication between the Buyer and the Seller but is not obliged to decide a dispute concerning an independent Seller’s sales contract unless required by law or expressly stated in a separate policy.
Consumers may also have the right to submit a complaint to a competent consumer protection authority or an applicable alternative dispute resolution body.
In Bulgaria, Consumers may contact the Bulgarian Commission for Consumer Protection or an applicable conciliation commission.
The availability of alternative dispute resolution does not restrict the right of either party to bring proceedings before a competent court.
30. GOVERNING LAW AND JURISDICTION
These Terms and the operation of the Platform are governed by the laws of the Republic of Bulgaria.
Where a user is a Consumer residing in another country, this choice of law does not deprive the Consumer of any mandatory consumer protection afforded by the law that would otherwise apply.
Disputes shall be submitted to the competent courts determined under applicable law.
Nothing in these Terms requires a Consumer to bring a claim exclusively before a court in Plovdiv where such a restriction would be contrary to applicable consumer protection or jurisdiction rules.
The sales contract for a Product may also be subject to additional mandatory laws applicable to the Buyer and the relevant Seller.
31. CHANGES TO THESE TERMS
We may amend these Terms to reflect:
-
changes to the Platform;
-
changes in applicable law;
-
new security or compliance requirements;
-
changes to the Seller application or verification process;
-
changes to our business or technical processes;
-
corrections or clarifications.
The current version will be published on this page together with the date of the latest update.
Where a change materially affects registered users or ongoing services, we will provide notice where required by law.
Changes will not retroactively alter a sales contract already concluded between a Buyer and a Seller unless legally permitted and expressly agreed.
Continued use of the Platform after a change takes effect constitutes acceptance of the updated Terms only to the extent permitted by applicable law.
32. SEVERABILITY
If any provision of these Terms is found to be unlawful, invalid or unenforceable, it will be applied to the maximum extent permitted by law or, where necessary, treated as removed.
The remaining provisions will continue to apply.
33. NO WAIVER
A failure or delay by Hoskay to exercise a right under these Terms does not constitute a waiver of that right.
A waiver is effective only where expressly made in writing.
34. ENTIRE AGREEMENT
These Terms, together with the policies expressly incorporated into them, govern the use of the Platform.
They do not replace or override:
-
a separate Seller agreement or Seller Terms;
-
the sales contract between a Buyer and a Seller;
-
mandatory rights arising under applicable law.
Where there is a conflict between these Terms and a mandatory legal requirement, the mandatory legal requirement prevails.
